The parties agree to first attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the parties agree to endeavor to settle the dispute by mediation. Any unresolved claim or controversy shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
